These terms apply to every VI Toolbox subscription provided by Virtual Innovation Group Limited. Built to be useful ## Subscription terms at a glance - A six-month minimum term followed by monthly billing - Clear platform, usage and website ownership conditions - Cancellation, data export and liability responsibilities **Effective from:** 1 December 2025 These terms apply to all plans provided by Virtual Innovation Group Limited. By signing up, starting a trial or continuing to use the platform, you agree to these terms. ### 1\. What VI Toolbox Is VI Toolbox is a subscription-based business platform that provides CRM tools, communication tools, marketing tools, websites, automation and AI-powered features. You are buying ongoing access to the system. You are not buying the system itself. Some features rely on external services such as email providers, phone carriers, AI engines, payment gateways and Google services. ### 2\. Subscription Term and Billing **2.1 Minimum term** All VI Toolbox subscriptions begin with a six-month minimum term. After six months, your subscription rolls to a monthly plan. **2.2 SaaS billing model** VI Toolbox operates on a SaaS plan. Your credit card details are stored securely within the billing system and you will be charged automatically on your billing cycle for: - Your monthly subscription - Any usage-based credits consumed - Any approved add-ons **2.3 GST** If you are based in New Zealand, all subscription fees are inclusive of GST. If you are based outside New Zealand, GST does not apply. **2.4 Annual payments** You may choose to pay annually at a 10 percent discount. Annual fees are non-refundable. ### 3\. Setup and Onboarding Fees Setup, configuration, onboarding and migration fees are one-off service fees. These are performed upfront and are always non-refundable. ### 4\. Platform Inclusions and Usage-Based Costs Each VI Toolbox subscription comes with a set of features as published on the website. All plans also include a reasonable allowance of resources suited to typical use for that subscription tier. **4.1 Usage-based billing** Some features incur additional charges. These may include: - Extra email sends beyond your allowance - Phone numbers and inbound or outbound call usage - Additional AI usage above your monthly AI credit - Any other usage-based system features offered within VI Toolbox Usage charges are added automatically to your monthly invoice. **4.2 Transparent rates** You can request the current usage rates at any time. If our underlying providers change their pricing, your usage rates may increase or decrease. If this happens, we will notify you. ### 5\. Websites Built on VI Toolbox If your website is created inside VI Toolbox: - You own your content, text, images and media - The website builder, layout system and underlying technology remain part of VI Toolbox - The website cannot be migrated away because it relies on the platform - Cancelling your subscription will deactivate your website - We can export your content on request, but not the functioning site This structure is what keeps your website affordable and stable. ### 6\. Data, Access and Account Limits **6.1 Your data** You own the data you store inside VI Toolbox. **6.2 Account permissions** We provide permission levels to protect system stability. Some system functions remain restricted and cannot be modified by users. **6.3 Acceptable use** Even though plans use usage-based billing, unreasonable or abusive use that harms system performance or breaches laws may be restricted or suspended. ### 7\. Platform Updates The platform evolves regularly. Features may be added, improved or retired. We do not guarantee that every feature will remain unchanged over time. ### 8\. Cancellation **8.1 During the minimum term** If you cancel during the six-month commitment, the remaining term is still payable. **8.2 After the minimum term** You may cancel with 30 days' written notice. Your access and website will deactivate at the end of the notice period. **8.3 Data export** You may request an export of your contacts and content before cancellation. We do not export system features, automations or platform tools. ### 9\. Liability We are not liable for: - Third-party outages from providers such as Google, AI engines, carriers or email systems - Platform interruptions outside our control - Business losses or indirect damages We always act in good faith and work to minimise disruption. ### 10\.
